Relevant Event: Announces Changes in Management Team

OHL Mexico, S.A.B. de C.V. (“OHL Mexico” or “the Company”) (BMV: OHLMEX) announced that, in accordance with paragraph b), Section I of Article 50 of the General Rules Applicable to Issuers of Securities and Other Participants of the Securities Market, beginning July 15, 2016 Mr. Roberto Andrade Martínez will replace Mr. Gerardo Fernández Reyes, who is leaving the Company for personal reasons. Mr. Andrade Martínez will be responsible for OHL México’s legal department. Mr. Andrade holds a law degree from the Universidad Latinoamericana and a postgraduate degree in Business Law from the Universidad de Salamanca. In addition, he received a certification in Financial Law at the Instituto Tecnológico Autónomo de México and has been a member of the Advisory Board of Tulane University Law School. He has served as General Counsel in several major companies in Mexico, including Exxon Mobil, Panasonic Mexico, Telefonica Móviles and, more recently, Grupo Farmacias del Ahorro.

Additionally, and as part of a series of recommendations of OHL Mexico’s Audit Committee aimed at enhancing transparency and giving greater security and confidence to investors and the general public, as of July 18, 2016 Mr. Pablo César Jiménez Ruano will join the Company as Chief of Compliance, reporting to the Audit Committee. Mr. Jiménez holds an Industrial Engineering degree and an MBA from the Universidad Iberoamericana, and has certifications in Management & Leadership from the IE Business School in Madrid. He has held several executive positions as Director in the areas of Auditing, Internal Control and Compliance in companies such as Grupo Financiero Banamex  ‐  City Group, Seguros Monterrey New York Life and, more recently, Chubb.
