Mexico City, Mexico, April 2, 2019 – As part of its efforts to strengthen transparency and corporate integrity, Aleatica, S.A.B. de C.V. (“Aleatica” or the “Company”) (BMV: “ALEATIC”) is pleased to announce the release and publication of information of the Circuito Exterior Mexiquense (“CEM”) and the Viaducto Elevado Bicentenario (“VB”), including, among others, the concession titles (“information of the CEM and VB”). This information, including context and explanations to facilitate its analysis (of the titles), is available at: http://www.transparencia-aleatica.com.mx/
Concession titles are the documents that govern the contractual relationship between the government and the concessionaire, including with respect to duration of the concessions, the mechanism used to set toll fees, and operating standards.
It is important to mention that Aleatica is not legally required to publish the information of the CEM and VB. Among the State of Mexico toll road concessions, no other cases have been identified where concessionaires have voluntarily revealed information of this nature, which makes Aleatica’s initiative the first in the State of Mexico.
The disclosure of the information of the CEM and VB significantly exceeds the disclosure requirements set forth in the applicable legislation, including, but not limited to, transparency and public information laws, applicable to certain concessionaires and the securities market law and other regulations applicable to publicly listed companies.
The information of the CEM and VB, presented by Aleatica, is in accordance with the commitment to transparency agreed by the Ministry of Communications of the State of Mexico with the Congress of the State of Mexico, making Aleatica the first company to respond to this commitment.

The disclosure of the information of the CEM and VB is part of Aleatica’s commitment to strengthening transparency and public disclosure outlined in the September 25, 2018 relevant event (Transparencia Mexicana and IFM Investors sign MOU and commence implementation of its first stage) and adheres to the terms of the memorandum of understanding entered into with Transparencia Mexicana, the local chapter of Transparency International. Relevant communications between IFM Investors and Transparencia Mexicana regarding their collaboration in this initiative are attached hereto.
The launch of: http://www.transparencia-aleatica.com.mx/ and the publication of the information of the CEM and VB are part of various corporate governance and transparency initiatives that Aleatica has implemented in recent months, including the appointment of a Director of Compliance and Risk Management and a General Counsel, both of whom perform the same functions at a global level for Aleatica, S.A.U. In line with the foregoing, three additional independent directors were appointed to the Board of Directors of the Company.
As part of this initiative to increase transparency, Aleatica is working with government agencies and other stakeholders with the goal of disclosing the same level of information for Aleatica’s remaining concessions in Mexico.
