Mexico City, Mexico, April 9, 2019 – In relation to: (i) the Engineering, Procurement and Construction Contract of the Atizapán – Atlacomulco High Specifications Toll-Road, in the State of Mexico (the “ATAT Toll-Road”), dated October 10, 2016, (the “EPC Contract”), entered into by and between Concesionaria AT-AT, S.A. de C.V. (“ATAT”), a subsidiary of Aleatica, S.A.B. de C.V. (“Aleatica” or the “Company”) (BMV: “ALEATIC”), and Constructora de Proyectos Viales de México, S.A. de C.V. (the “OHL’s Subsidiary”), a subsidiary of Obrascón Huarte Lain, S.A. (“OHL”); and (ii) the Relevant Event issued yesterday regarding the termination of the EPC Contract; Aleatica informs the market that:
Today ATAT is filing before the Centro de Arbitraje de México an arbitration against OHL’s Subsidiary, requesting that an arbitration tribunal confirm the material defaults by OHL’s Subsidiary under the EPC Contract and requesting that OHL’s Subsidiary indemnify ATAT for the damages and lost profits suffered by ATAT. The defaults of OHL’s Subsidiary, including the suspension of the relevant construction works, were duly documented.
In addition, yesterday, after the termination of the EPC Contract was notified to OHL’s Subsidiary, ATAT was notified of an arbitration filed by OHL’s Subsidiary in connection with the existing controversies between the parties of the EPC Contract.
Each of the pending arbitrations between ATAT and OHL´s Subsidiary is expected to proceed in accordance with the applicable legal procedure.
