(“OHL México” or the “Company”) (BMV: “OHLMEX”), in compliance with the provisions of subsection b) of section V of Article 50 of the Sole Issuer’s Circular, which states that public investors must be informed of “the judicial, administrative or arbitral proceedings of importance to the issuer or to the entities that it controls or in which it has a significant influence, as well as the sense of the resolutions issued under said procedures, or, issued against shareholders who at least maintain a significant influence, board members and relevant officers”, informs the following:
In furtherance to the relevant event published on May 8, 2018, in relation to the lawsuit filed by Mr. Juan Carlos Ramírez López against, among other defendants, the Company, and the precautionary measures ordered in such proceeding “ex parte”; on May 11, 2018, the same Fifty-eighth Civil Court of the Superior Court of Justice of Mexico City, which is handling the suit, issued a resolution by means of which it ordered, among other things, the immediate lifting of the precautionary measures ordered previously, and the notification to the parties that had knowledge of such precautionary measures of their immediate lifting.
The foregoing means that the legal process of the lawsuit initiated by Juan Carlos Ramírez López against, among other defendants, the Company, will continue in all its procedural stages, without any precautionary measure current as of this date, provided that the Company guaranteed the possible interests of the plaintiff, up to MXP$2 million, without conceding, in any manner whatsoever, any of its claims. The mentioned resolution dated May 11, 2018 was notified to both, Mr. Juan Carlos Ramírez López and the Company, Today, through its publication in the Judicial Gazette.
The Company states that it is obliged to defend the value of its shares, for the benefit of all of its shareholders. Therefore, the company reiterates that not only will it vigorously defend itself before the competent courts, but it will also initiate the necessary procedures to claim compensation for the losses and damages caused by any claim filed against it, including that referred to in this relevant event, emphasizing that it has at all times acted in accordance with the law and after obtaining the required authorizations from the corresponding authorities.
