Relevant Event

Mexico City, Mexico – In relation to certain information that has transcended through mass media, which refers to Mr. Emilio Lozoya Austin as a former independent member of the board of directors of OHL Mexico, Aleatica, S.A.B. of C.V. (“Aleatica” or the “Company”) (BMV: “ALEATIC”) wishes to clarify the following:

  1. The relationship that existed between Mr. Emilio Lozoya Austin and OHL México was strictly limited to his participation as an independent board member of OHL México beginning on the month of October 2010 and until the month of April 2012. In said period, OHL Mexico was an affiliate of OHL Concesiones which, in turn, was controlled by Obrascón Huarte Laín, S.A. (the “Spanish Group OHL”).
    During his tenure as an independent board member, Mr. Lozoya Austin did not have any executive powers or responsibilities. It should be noted that during such term, no new concession was granted to the Company nor did the Board of Directors approved any new relevant investment.
  2. The corporate purpose of Aleatica, S.A.B. de C.V. has always been limited to the operation of transport infrastructure concessions. The activities related to development of construction projects that have been referred to in some reports are unrelated to Aleatica. They purportedly refer to different subsidiaries of the Spanish Group OHL, with operations in Mexico and other countries. As an unrelated third party, Aleatica was not involved in and is unaware of any transaction that may have occurred between Mr. Lozoya and any other affiliated company of the Spanish Group OHL or Infoglobal.
  3. Since the month of April of 2018, when IFM Investors completed, globally, the acquisition of OHL’s infrastructure operator company -OHL Concesiones-, Aleatica ceased to have any corporate relationship with the Spanish Group OHL.
  4. It is further clarified that its remaining contractual relationship with the Spanish Group OHL in Mexico, through its construction subsidiaries, has been fully terminated. Aleatica rescinded the remaining construction contract it had with the Spanish Group OHL in Mexico, and initiated the corresponding arbitration proceedings, as communicated by the Company by the means of relevant events dated April 8 and 9, 2019, respectively.
