Mexico City, Mexico – In relation to: (i) the Engineering, Procurement and Construction Contract of the Atizapán – Atlacomulco High Specifications Toll-Road, in the State of Mexico (the “ATAT Toll-Road”), dated October 10, 2016, (the “EPC Contract”), entered into by and between Concesionaria AT-AT, S.A. de C.V. (“ATAT”), a subsidiary of Aleatica, S.A.B. de C.V. (“Aleatica” or the “Company”) (BMV: “ALEATIC”), and Constructora de Proyectos Viales de México, S.A. de C.V. (“OHL’s Subsidiary”), a subsidiary of Obrascón Huarte Lain, S.A. (“OHL”); and (ii) the Relevant Events issued by the Company on April 8 and 9, 2019 regarding the termination of the EPC Contract and the related arbitration proceedings; Aleatica informs the market that:
Aleatica, ATAT, OHL and OHL’s Subsidiary executed an agreement by means of which ATAT shall be entitled to receive payment from OHL and pursuant to which the disputes and arbitration proceedings in connection with the EPC Contract shall be finalized (the “Settlement Agreement”).
The effectiveness of the Settlement Agreement is subject to the satisfaction of certain conditions.
With the Settlement Agreement Aleatica confirms the definite termination of all business relationships with OHL in Mexico.
These actions announced today are a positive development for the continuation of the project and will facilitate the expeditious remobilization of the construction works of the ATAT Toll-Road in compliance with the corresponding concession title, together with some of the subcontractors that have worked on the project as well as new contractors interested in participating.
